Terms of Service

Welcome to Stock Tagger. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Stock Tagger Inc. (a wholly owned subsidiary of Vincit Global Inc.) ("Stock Tagger," "we," "us," or "our") governing your access to and use of the Stock Tagger website, applications, and services (collectively, the "Service").

By creating an account, making a purchase, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility and Account Registration

1.1 Eligibility

To use the Service, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract. By using the Service, you represent and warrant that you meet these eligibility requirements.

1.2 Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information to keep it accurate and complete;
• Maintain the security and confidentiality of your login credentials.

1.3 Account Security

You are solely responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

2. Service Description

2.1 Nature of the Service

Stock Tagger is an artificial intelligence-powered service that analyzes photographs and generates metadata, quality assessments, keywords, descriptions, category assignments, and other analytical outputs to assist photographers in evaluating, organizing, and preparing their images for commercial use. The Service uses third-party AI providers to process user inputs and generate analytical outputs.

2.2 Analytical Output Only

Generated metadata, quality scores, keywords, descriptions, and other analytical outputs are provided as tools to assist photographers in evaluating and preparing their work. Generated content is NOT and should not be construed as:

• A definitive or objective assessment of artistic merit;
• A guarantee of acceptance by any stock photography platform or agency;
• A guarantee of commercial success, licensing revenue, or sales outcomes;
• Professional appraisal, valuation, or critique;
• Legal, financial, or business advice of any kind.

You remain solely responsible for reviewing, verifying, and editing all generated metadata before submission to any platform or use in any commercial context. Stock photography platforms have their own acceptance criteria, and acceptance is not guaranteed regardless of quality scores or other analytical outputs provided by the Service.

3. Geographic Availability

The Service is currently available to Users worldwide. We reserve the right to restrict geographic availability at any time.

4. Pricing and Payment

4.1 Credit-Based Pricing

Stock Tagger operates on a credit-based pricing model. Users purchase credit packs and spend credits to process images through the Service. Credit packs are available at various sizes as described on our website at the time of purchase. Credits do not expire.

4.2 Tier Status

Users earn permanent tier status based on cumulative images processed through the Service. Tier thresholds and associated benefits (including per-image credit rates) are described on our website. Tier status is cumulative and permanent once earned. Your tier status is never revoked, even during periods of inactivity.

We reserve the right to modify tier thresholds and tier benefits with at least thirty (30) days' advance notice. Any modification to tier benefits applies prospectively only. Existing tier status earned prior to the modification is never revoked.

4.3 Taxes

All prices displayed on the Service are exclusive of applicable taxes. Applicable sales, use, value-added, goods and services, harmonized sales, or other similar taxes will be calculated based on your location and added to your total at checkout. You agree to pay all such taxes as part of your purchase.

4.4 Payment Processing

Payments are processed through our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees to your designated payment method. You agree to maintain valid and current payment information in your account.

4.5 Price Changes

We reserve the right to change our pricing at any time. Price changes apply to future credit pack purchases only. Credits already purchased are not affected by price changes. We will provide at least thirty (30) days' notice before any change to tier benefits or per-image credit rates takes effect.

5. Refund Policy

5.1 Credit Pack Refunds

Unused credits may be refunded within thirty (30) days of purchase. Credits that have been used to process images are non-refundable. Partial refunds will be issued for the unused portion of a credit pack.

5.2 Processing Failures

If the Service fails to process an image due to a technical failure on our part (as distinguished from content safety blocks or unsupported file formats), the credits consumed by the failed processing will be restored to your account.

5.3 Satisfaction Guarantee

We offer a satisfaction guarantee on your first credit pack purchase. If you are unsatisfied with the Service for any reason, you may request a full refund of your first credit pack within fourteen (14) days of purchase, regardless of usage. No reason is required. Each customer is entitled to only one satisfaction guarantee refund.

5.4 How to Request a Refund

6. User Content and Uploads

6.1 Your Content

"User Content" means all photographs, images, and associated files you upload, submit, or otherwise provide to the Service, including all embedded metadata. You retain all ownership rights in your User Content.

6.2 Image Processing License

By submitting User Content to the Service, you grant Stock Tagger a non-exclusive, limited license to use, copy, process, and temporarily store your images solely for the purpose of providing the Service and generating analytical outputs. This license is limited to the processing duration and any brief retention period described in our Privacy Policy. We do not retain, distribute, sell, license, or share your images beyond what is necessary to provide the Service.

6.3 Technical and Derived Metadata License

By submitting User Content to the Service, you grant Stock Tagger a perpetual, worldwide, royalty-free, non-exclusive license to retain, use, aggregate, and publish anonymized Technical Metadata and Derived Metadata extracted from or generated in connection with your images, for the purposes of:

• Improving and developing the Service, including calibrating and improving analytical models;
• Generating aggregate, anonymized reports and analytics;
• Publishing aggregate statistical insights that contain no personally identifiable information and cannot be traced to individual users or specific images.

"Technical Metadata" means data extracted from the EXIF, IPTC, and XMP metadata embedded in your images, including but not limited to camera model, lens model, exposure settings, focal length, ISO, GPS coordinates, and other technical parameters. "Derived Metadata" means data generated by the Service, including quality scores, subject classifications, keyword suggestions, and other analytical outputs.

This metadata is anonymized and aggregated. It cannot be used to reconstruct, identify, or access your original images. This license survives termination of your account.

6.4 Your Representations

By submitting User Content, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions to submit the User Content and grant the licenses described herein;
• The User Content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other rights;
• The User Content does not violate any applicable law or regulation;
• If the User Content contains images of identifiable individuals, you have obtained all necessary consents or have a legal basis for submitting such images for analysis.

6.5 Data Retention

User Content (images) is processed during the active session and deleted from our processing systems within seventy-two (72) hours of processing completion. Users may request immediate deletion at any time.

Anonymized Technical and Derived Metadata is retained indefinitely as described in Section 6.3.

Generated metadata and analytical outputs are retained in your account for as long as your account remains active. You may delete individual results at any time. Upon deletion of your account, generated outputs are deleted within thirty (30) days.

6.6 Third-Party AI Processors

The Service uses third-party AI service providers to analyze images and generate metadata. User Content submitted for analysis is processed by these providers subject to their data handling practices. We select AI providers that have committed not to use data submitted through their APIs for training their general models. These providers may retain data for limited periods for abuse monitoring and safety purposes. 7. Generated Metadata and Analytical Outputs

7.1 License to Generated Outputs

Upon payment of applicable credits, you receive a perpetual, worldwide, royalty-free, non-exclusive license to use, copy, modify, publish, and distribute the generated metadata, descriptions, keywords, and other analytical outputs for any lawful purpose, including commercial use and submission to stock photography platforms. No attribution to Stock Tagger is required.

7.2 AI Limitations and Accuracy Disclaimer

IMPORTANT: Artificial intelligence systems may produce errors, inaccuracies, omissions, or outputs that do not accurately reflect the content or quality of your images. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND EDITING ALL GENERATED METADATA BEFORE SUBMISSION TO ANY PLATFORM OR USE IN ANY COMMERCIAL CONTEXT.

Stock Tagger does not guarantee that generated metadata will be accurate, complete, error-free, or suitable for any particular purpose. We make no representations or warranties regarding:

• The accuracy or completeness of any generated metadata, quality score, keyword, description, or other analytical output;
• The suitability of any output for your specific needs or intended use;
• Acceptance by any stock photography platform, agency, or buyer;
• Sales outcomes, licensing revenue, or commercial performance;
• Compliance with any stock platform's specific submission requirements or editorial guidelines.

7.3 Quality Scores

Quality scores, star ratings, color flags, stock potential assessments, crop recommendations, and other evaluative outputs are algorithmic assessments generated by artificial intelligence models. They reflect the Service's analytical determination based on available data and should not be treated as definitive judgments of artistic merit or commercial viability. Reasonable photographers may disagree with any score or assessment.

8. Acceptable Use

8.1 Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Uploading images you do not own or do not have legal rights or authorization to submit for analysis;
• Uploading content that is illegal, obscene, or that depicts the exploitation or abuse of minors;
• Uploading content that infringes any third party's intellectual property rights;
• Attempting to reverse-engineer, decompile, disassemble, or otherwise derive source code from the Service, its software, applications, or underlying AI models;
• Attempting to reverse-engineer, extract, or reconstruct the prompts, workflows, or analytical methods used by the Service;
• Using automated systems, bots, scrapers, or similar technology to access the Service or extract data;
• Probing, scanning, or testing the vulnerability of the Service or circumventing any security or authentication measures;
• Reselling, sublicensing, or white-labeling the Service or its outputs without our prior written consent;
• Interfering with or disrupting the integrity or performance of the Service or its underlying systems and networks;
• Using the Service in violation of any applicable law or regulation;
• Submitting images for the purpose of generating metadata for images you intend to misrepresent as your own work.

8.2 Content Safety

The Service uses third-party AI models that may block or refuse to process certain images based on content safety filters applied by those providers. We do not control the content safety policies of our AI providers. If an image is blocked by a content safety filter, credits consumed by the blocked processing will be restored to your account.

8.3 Consequences of Violation

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including without limitation suspending or terminating your account without refund, removing User Content, reporting violations to law enforcement, and pursuing legal action.

9. Intellectual Property

9.1 Stock Tagger Intellectual Property

Stock Tagger and its licensors own and retain all rights, title, and interest in and to:

(a) The Service and all software, code, applications, and systems powering it;

(b) All proprietary models, algorithms, prompts, workflows, analytical methods, and integrations developed by Stock Tagger;

(c) The Stock Tagger name, logo, trademarks, and all related branding;

(d) The website, application interfaces, user experience design, and visual elements;

(e) All documentation, content, reports, and materials created by Stock Tagger;

(f) All aggregate, anonymized datasets and analytics derived from platform-wide usage.

The Service utilizes third-party artificial intelligence models under license. Nothing in these Terms grants you any rights to such third-party models or technologies.

Nothing in these Terms transfers any ownership of Stock Tagger intellectual property to you. You may not use Stock Tagger trademarks without our prior written consent.

9.2 Your Intellectual Property

You retain all ownership rights in your images and User Content. Nothing in these Terms transfers ownership of your images to Stock Tagger. The licenses granted in Section 6 are limited to the purposes described therein.

9.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we may use and share such Feedback for any purpose without compensation or attribution to you.

10. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOCK TAGGER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY GENERATED METADATA, QUALITY SCORES, OR OTHER ANALYTICAL OUTPUTS;
• WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY INTENDED RESULTS;
• WARRANTIES THAT ANY STOCK PHOTOGRAPHY PLATFORM WILL ACCEPT IMAGES PROCESSED THROUGH THE SERVICE.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Limitation of Liability

12.1 Limitation on Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STOCK TAGGER, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF STOCK TAGGER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOCK TAGGER'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO STOCK TAGGER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

12.3 Specific Exclusions

Without limiting the foregoing, Stock Tagger shall have no liability for any claims, damages, or losses arising from:

• Your submission or use of any generated metadata, descriptions, keywords, or other analytical outputs;
• The rejection of your images or metadata by any stock photography platform, agency, or buyer;
• Any dispute between you and a stock platform, agency, buyer, or other third party;
• Quality scores or other evaluative outputs that you disagree with or consider inaccurate;
• Your failure to review, verify, or edit generated metadata before use;
• Content safety blocks applied by third-party AI providers;
• The deletion of images from our processing systems in accordance with our data retention policies.

12.4 Jurisdictional Limitations

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Stock Tagger, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your User Content, including any claims that your User Content infringes or misappropriates any third party's rights;
• Your submission, distribution, or use of any generated metadata;
• Your violation of these Terms;
• Your violation of any applicable law, regulation, or third-party rights;
• Any dispute or claim brought by a stock platform, agency, buyer, or other third party relating to your images or metadata.

We will provide you with prompt written notice of any such claim and will reasonably cooperate with your defense, at your expense. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

14. Dispute Resolution

14.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of laws principles.

14.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days. To initiate this informal dispute resolution process, you must send a written notice describing the nature of the claim and desired resolution to legal@stocktagger.com.

14.3 Jurisdiction and Venue

Subject to Section 14.2, any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of British Columbia, Canada, located in Victoria, and you hereby consent to the personal jurisdiction and venue of such courts.

14.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND STOCK TAGGER EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. You may only bring claims against Stock Tagger in your individual capacity.

14.5 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim qualifies for small claims court jurisdiction.

15. Term and Termination

15.1 Term

These Terms are effective upon your first access to or use of the Service and continue until terminated as provided herein.

15.2 Termination by You

You may terminate your account at any time by using the account deletion features in your account settings or by contacting us at support@stocktagger.com.

Upon termination by you, unused credits will be refunded in accordance with Section 5.1. Tier status is not transferable and ceases upon account deletion.

15.3 Termination by Stock Tagger

We may terminate or suspend your account and access to the Service:

• For convenience, with thirty (30) days' advance notice;
• Immediately, without notice, if we reasonably believe you have violated these Terms;
• Immediately, without notice, if required by law or to protect the rights, property, or safety of Stock Tagger, our users, or third parties.

15.4 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease;
• Your license to use previously generated metadata and analytical outputs will survive termination;
• Your User Content will be deleted in accordance with Section 6.5;
• Anonymized Technical and Derived Metadata will be retained in accordance with Section 6.3;
• Sections 6.2 (Image Processing License), 6.3 (Technical and Derived Metadata License), 7.1 (License to Generated Outputs), 9 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution), and 17 (General Provisions) will survive termination.

16. Modifications to Terms

We may modify these Terms at any time. For material changes, we will provide at least thirty (30) days' advance notice by email to the address associated with your account and/or by prominent notice within the Service. Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and terminate your account before the effective date of the changes.

Non-material changes, such as clarifications or corrections, may be made at any time without advance notice.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Stock Tagger regarding the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Stock Tagger.

17.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign or transfer these Terms, or any rights or obligations hereunder, without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.

17.5 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, strikes, or failures of third-party telecommunications or power supply.

17.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Stock Tagger.

17.7 Notices

Notices to you may be sent to the email address associated with your account. Notices to Stock Tagger must be sent to legal@stocktagger.com.

Notices are deemed given when sent by email (for notices to Users) or when received (for notices to Stock Tagger).

17.8 Export Compliance

You agree to comply with all applicable export control laws and regulations in your use of the Service.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICE.
